The group consists of two private limited companies under Dutch law. The holding is the sole shareholder and sole director of the subsidiary.

Who signs
Shalena Opbroek represents CivSec Group B.V. on her own. CivSec S.M.A.R.T B.V. is represented by CivSec Group B.V., acting through its director.
How decisions are made
- The general meeting appoints and dismisses directors and sets their remuneration.
- The general meeting meets at least once a financial year; resolutions can also be adopted in writing.
- Selling the business or a significant participation requires the approval of the general meeting.
- A director with a conflicting interest does not take part in the decision; the general meeting then decides.
- Agreements between the company and its sole shareholder are recorded in writing.
- All resolutions of the directors and the shareholders are entered in a minute book.
- The group has no supervisory board; supervision of the director rests with the general meeting.
Financial year and reporting
The financial year is the calendar year. The first financial year of the holding runs until 31 December 2026. The annual accounts are prepared within five months of the year end, adopted by the general meeting and made public as the law requires.
Tax and records
Both companies are registered with the Dutch Tax Administration for VAT. Records are kept for seven years, as the Dutch statutory retention period requires.
